These Terms and Conditions ("Terms") constitute a legal agreement between you ("User," "you," or "your") and CogniHelp, Inc. ("Company," "CogniHelp," "we," "our," or "us") governing your use of the CogniHelp mobile application and all associated services, features, and content (collectively, the "Service" or "App").

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

By downloading, installing, accessing, or using the CogniHelp App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. These Terms apply to all users of the Service.

CogniHelp is a mobile application designed to support cognitive health and wellness through various features including but not limited to cognitive assessments, mood tracking, journaling, and personalized recommendations. The Service is intended for informational and educational purposes and is not a substitute for professional medical advice, diagnosis, or treatment.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms and applicable law.

You agree not to:

• Use the Service for any unlawful, harmful, or prohibited purpose
• Copy, modify, reverse engineer, decompile, disassemble, or create derivative works of any part of the Service
• Use the Service to collect, harvest, or store data from other users
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems or software to extract data from the Service
• Violate any applicable local, state, national, or international law
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Transmit any harmful, threatening, abusive, or offensive content

To access certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information and to update such information as necessary to maintain its accuracy.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You must be at least 13 years old to use the Service. If you are between 13 and 18 years old, you represent that you have parental or guardian consent to use the Service.

You retain ownership of any content you submit, post, or upload to the Service ("User Content"). By submitting User Content, you grant us a non-exclusive, royalty-free, worldwide license to use, modify, and display such content solely for the purpose of providing and improving the Service.

You agree that your User Content will not:

• Contain harmful, offensive, or inappropriate material

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to compensate you.

THE SERVICE IS NOT INTENDED TO DIAGNOSE, TREAT, CURE, OR PREVENT ANY DISEASE OR MEDICAL CONDITION. THE INFORMATION PROVIDED BY THE SERVICE IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND SHOULD NOT BE USED AS A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALWAYS CONSULT WITH A QUALIFIED HEALTHCARE PROVIDER BEFORE MAKING ANY HEALTH-RELATED DECISIONS.

The Service may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or terms of use of any third-party services. Your use of third-party services is subject to their respective terms and conditions.

Certain features of the Service may require payment of fees. All fees are non-refundable unless otherwise specified. We reserve the right to change our fees at any time with appropriate notice.

You may terminate your account and stop using the Service at any time by contacting us or following the account deletion process in the App.

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if you breach these Terms or engage in conduct that we deem harmful to the Service or other users.

Upon termination, your right to use the Service will cease immediately. We may delete your account and all associated data, though some information may be retained as required by law or our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COGNIHELP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless CogniHelp and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Texas.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the App or by other appropriate means. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CogniHelp regarding the Service and supersede all prior agreements and understandings.

3. Intellectual Property
   All rights, title, and interest in the App, including software and content, are owned by CogniHelp. This Agreement does not transfer any intellectual property rights.
    
4. Termination
   We reserve the right to terminate this Agreement and your access to the App at any time if you breach any terms herein.
    
5. Disclaimers and Limitation of Liability
   The App is provided "as is" and "as available." We make no warranties, express or implied, regarding the App's accuracy, reliability, or fitness for a particular purpose. We are not liable for any damages arising from use of the App, except in cases of gross negligence or intentional misconduct.
    
6. Governing Law
   This Agreement shall be governed by the laws of the state of Texas, without regard to conflict of law principles.
